MorningWorks LLC, Terms and conditions relating to our product and use of our website
When buying an item from MorningWorks, LLC, you agree that: (i) you are responsible for reading the full item listing before making a commitment to buy it: (ii) you enter into a legally binding contract to purchase an item when you commit to buy an item and you complete the check-out payment process.
The prices we charge for our products are listed on the website. We reserve the right to change our prices for products displayed at any time, and to correct pricing errors that may inadvertently occur. Additional information about pricing and sales tax is available on the payments page.
The fee for the product you buy will be charged to you at the time you make your purchase. Other fees such as shipping and sales tax, if applicable, will be billed to you directly via email. Note that we do not release any product until all charges and fees have been paid and have cleared. We request that the balance of fees including those for change orders, shipping and taxation, be paid within 14 days of the bill for said charges being issued. Because we build each piece to order following the client’s specification, refunds for purchases cannot be issued once construction of the product has begun. Also note that we do not have capacity to store many completed pieces on our premises, so we request that finished product ship within 30 days of completion. Client agrees that product that has not been paid within 90 days of the final billing will be forfeited back to MorningWorks LLC and no refund will be issued.
MorningWorks LLC builds product to order. We do not accept returns or issue refunds except for the following:

Product is materially different that what the client ordered. For example, if the product was made with the incorrect wood, cord, or fabric type. Note that our designs do evolve over time so minor changes from year to year may occur, and this is not to be considered a material difference.

Product is damaged or defective. Note that if product is damaged due to the fault of the shipper, we will take up a claim with said shipping entity while working with you to repair or replace your product.
MorningWorks LLC makes furniture that is designed to last for a lifetime. Certain parts of the furniture will wear out faster than other parts, such as paper cord and upholstery textiles. Wood and wood finishes will wear over time as well. The rate of this process will depend on usage and exposure to elements such as water and sunlight. Most if not all components of our product can be maintained and replaced as needed. We warranty our products against defects in construction and materials for a five year period after the date we ship them off to the client. You should expect your product to last much longer than this. If failure occurs due to defective design or construction within the warranty period, we will repair or replace your MorningWorks product.
When we receive a valid warranty claim for a product purchased from us, we will either repair the relevant defect or replace the product. If we are unable to repair or replace the product within a reasonable time, the customer will be entitled to a full refund upon the prompt return of the product to us. We will pay for shipment of repaired or replaced products to customer and customer will be responsible for return shipment of the product to us.
We may, without prior notice, change the services and/or products we offer. Our designs our constantly evolving and we do occasionally change which products are in our current catalog.
We reserve the right to refuse an order / orders for product after the time the order is placed if we determine we cannot fulfill the order. This can happen when an order is too large for our shop to handle. If this is the case, we will contact the client as soon as possible (usually the same day the order was placed, but no later than seven days thereafter). We request that clients making larger orders contact us in advance to discuss timeframes and feasibility
The products and services and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music and all Intellectual Property Rights related thereto, are the exclusive property of MorningWorks, LLC. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works thereof.
To the maximum extent permitted by applicable law, in no event shall MorningWorks, LLC be liable for any indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, the service or products we create.
To the maximum extent permitted by applicable law, MorningWorks, LLC assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service; and (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.
We reserve the right to modify these terms from time to time at our sole discretion. Therefore, you should review this page periodically.
These Terms, the rights and remedies provided hereunder, and any and all claims and disputes related hereto and/or to the services, shall be governed by, construed under and enforced in all respects solely and exclusively in accordance with the internal substantive laws of Sonoma County, California, United States, without respect to its conflict of laws principles. Any and all such claims and disputes shall be brought in, and you hereby consent to them being decided exclusively by a court of competent jurisdiction located in Sonoma County. The application of the United Nations Convention of Contracts for the International Sale of Goods is hereby expressly excluded.
